Terms of Service

1. Acceptance

By creating an account or using Tunela in any way, you accept these Terms of Service and our Privacy Policy and Acceptable Use Policy. You must be 18 years of age or older to use the Services. If you do not agree to any part of these Terms, do not use Tunela.

2. Account Registration

You must provide accurate and current information when registering. You are responsible for keeping your password secure and for all activity on your account. Notify us at support@tunela.ai if you suspect your account has been compromised. We may suspend accounts with suspicious activity while we investigate.

3. The Services

Tunela provides AI-based audio tools including, but not limited to:

• Voice conversion (applying a target voice model to an input audio or video)
• Stem separation (splitting a song into vocals, drums, bass, and other stems)
• Text-to-speech synthesis
• Custom voice model training from user-provided audio
• A library of pre-made voice models

We may add, modify, or discontinue features at any time. When we make material changes, we will give you reasonable notice as described in Section 19.

4. User Content and Licenses

Any audio, video, text, images, or other material you upload to, submit to, or generate with the Services is your “User Content.” You retain ownership of your User Content.

You grant Tunela a limited, non-exclusive, worldwide, royalty-free license to store, copy, transcode, process, display back to you, and otherwise handle your User Content solely for the purpose of providing the Services to you. This license ends when you delete the content or close your account, subject to backup retention windows described in the Privacy Policy.

We do not use your User Content to train our AI models unless you explicitly opt in via a control in your account settings. Opt-in is off by default and can be turned off at any time.

You represent and warrant that you have all rights necessary to upload your User Content and to grant the license above, and that your User Content does not infringe anyone’s rights or violate any law.

5. Acceptable Use

You must comply with our Acceptable Use Policy. In summary, you must not use Tunela to:

• Impersonate any real person without their documented consent
• Infringe copyright or other intellectual property rights
• Create or distribute illegal content, including content that sexualizes minors (zero-tolerance, reported to law enforcement)
• Harass, stalk, defame, or doxx anyone
• Create deepfakes intended to deceive, defraud, or manipulate

Violating the AUP can result in account suspension or permanent termination.

6. Intellectual Property

The Tunela platform — including its code, software, user interface, underlying AI models, logos, and documentation — is owned by Tunela or its licensors. Nothing in these Terms transfers ownership of our intellectual property to you, except for the output files you generate from your own User Content, which are yours subject to the limits in the AUP and applicable law.

7. Trademarks

“Tunela” and the Tunela logo are trademarks of the operator. You may not use them for your own products, services, or marketing without prior written permission.

8. Payment Terms

Paid plans are billed in US dollars through LemonSqueezy, which acts as the Merchant of Record for your purchase. Subscription fees are charged on the date you subscribe and automatically renew each billing period unless you cancel before the renewal date. Credit top-up purchases are charged in one lump sum at the time of purchase.

Prices may change. If we raise prices, we will notify existing subscribers at least 30 days before the change takes effect for their plan.

9. Cancellation

You may cancel your subscription at any time from your account settings. Your plan continues to work through the end of the paid billing period, after which it will not renew. We do not prorate partial months. For refund eligibility, see the Refund Policy.

10. Refunds

Refunds are governed by our Refund Policy, which includes specific protections for EU and UK consumers.

11. Free Tier

The free tier is offered as a courtesy. We may modify free tier limits, change what features are included, or discontinue the free tier with at least 30 days’ notice.

12. Account Suspension and Termination

We may suspend or terminate your access if we reasonably believe you have breached these Terms or the AUP. For serious violations we may terminate immediately. You may terminate at any time by deleting your account through account settings.

On termination, your User Content and account data are deleted per the retention schedule in the Privacy Policy. Unused subscription time is not refunded unless required by law or under the Refund Policy.

13. Disclaimers

The Services are provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation. We do not warrant that conversion quality will meet your expectations or that the Services will be free from bugs, delays, or outages. Some jurisdictions do not allow disclaimers of certain warranties, so parts of this section may not apply to you.

14. Limitation of Liability

To the maximum extent permitted by applicable law, Tunela’s total liability to you for any claim arising out of or relating to the Services is limited to the greater of: (a) one hundred US dollars (USD $100), or (b) the amount you paid Tunela in the six (6) months immediately before the event giving rise to the claim. Tunela is not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data, or reputational harm, even if we were advised of their possibility.

Nothing in these Terms limits liability that cannot be limited under applicable law, including for fraud, gross negligence, or willful misconduct, or for the statutory rights of consumers in the EU, UK, and other jurisdictions that grant non-waivable protections.

15. Indemnification

You agree to indemnify and hold harmless Tunela and its operators, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your breach of these Terms, the AUP, or the Privacy Policy
• Your violation of any third-party right, including intellectual property, privacy, or publicity rights
• Your misuse of the Services
• Your User Content
• Claims related to voice likeness rights or right of publicity (for example, New York Civil Rights Law §§ 50-51; California Civil Code § 3344; the Tennessee ELVIS Act; and EU member-state personality rights), and claims arising from any deepfake or impersonation content you created with the Services

16. Force Majeure

We are not liable for delays or failures caused by events outside our reasonable control, including cloud-provider outages (for example Microsoft Azure), internet disruptions, natural disasters, war, terrorism, cyber attacks, labor actions, and governmental actions.

17. Assignment

We may assign these Terms to a successor entity (for example, in a merger, acquisition, or asset sale). You may not assign your rights or obligations under these Terms without our prior written consent.

18. Dispute Resolution

If you have a dispute with us, please first contact privacy@tunela.ai and give us 30 days to resolve it informally.

If the dispute is not resolved, these Terms and any dispute arising from them are governed by the laws of the State of Israel, without regard to conflict-of-laws rules. The courts located in Tel Aviv, Israel have exclusive jurisdiction, except that:

• Consumers in the European Union retain the protections granted by EU consumer law, including the right under EU Regulation 1215/2012 to bring proceedings in the courts of their country of residence.
• Consumers in the United Kingdom retain equivalent protections under UK law.
• Nothing in this section affects statutory rights that cannot be waived under the consumer law of your country.

19. Changes to Terms

We may update these Terms from time to time. For material changes, we will notify registered users by email at least 30 days before the change takes effect. Continued use of the Services after that date means you accept the updated Terms.

21. Severability

If any provision of these Terms is found unenforceable, that provision is modified to the minimum extent necessary to make it enforceable, and the remaining provisions continue in full force.

22. Entire Agreement

These Terms, together with the Privacy Policy, Acceptable Use Policy, Refund Policy, and Cookie Policy, are the entire agreement between you and Tunela regarding the Services and supersede any prior agreements.

23. No Waiver

Our failure to enforce any right or provision is not a waiver of that right or provision in the future.
